Negotiate exit and data-portability terms before signing — not after the relationship is in trouble. Learn the exit assistance clause, data return formats (open formats, with reasonable schemas), transition support window, fine-tune weights and embeddings portability (often vendor-pushback area), post-termination obligations (data destruction certificates, surviving confidentiality and audit rights), and reverse-transition rights.
